  Abstract

The role of stock returns a significant incentive and restraint, make its academic circles attach great importance, and has been widely used in Chinese and foreign enterprises. China started from 90 in some pilot of the enterprise ownership incentive, but judging from the current situation, the incentive of stock without full play its due role, and overall implementation is not standardized. Equity Incentive Plan is a long - term effective incentive mode in china's listed companies fully implemented is the trend of the times, is the inevitable demand of the development of history. China should establish modern enterprise system, and improving the relevant laws and regulations and relevant policies, create conditions for the full implementation of stock option incentive system in china's enterprises to establish which suits china's national conditions, stock ownership incentive system with Chinese characteristics.
